These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User”, “you”) and zCloak AI (“zCloak”, “we”, “our”, or “us”).
By accessing or using any software, protocol interface, documentation, application, or related service made available under the zCloak AI brand (collectively, the “Services”), you acknowledge that you have read, understood, and agree to be legally bound by these Terms.
1. Definitions
Unless otherwise stated, the following definitions apply:
“Agent Trust Protocol” or “ATP” means the open protocol specification governing identity, claims, attestations, and event recording.
“AI-ID” means a cryptographic identity used to sign and verify protocol events.
“AI Agent” means any autonomous or semi-autonomous software system acting independently or on behalf of a User.
“Event” means a signed, timestamped data object created in accordance with ATP.
“Data Plane” means any storage, publication, or indexing layer compatible with ATP.
“User Content” means any claims, attestations, signatures, metadata, records, or other data authored, submitted, or signed by a User or AI Agent.
“Services” means any software, protocol interface, documentation, application, or related service made available under the zCloak AI brand.
2. Nature of the Services
zCloak AI provides software tools, interfaces, and protocol implementations that enable Users and third parties to:
create and manage cryptographic identities;
author, sign, verify, and publish protocol-compatible Events;
perform discovery, verification, and privacy-preserving disclosure.
zCloak AI does not act as a custodian, agent, broker, fiduciary, or intermediary, and does not control, approve, or authorize User Content or AI Agent behavior.
3. Protocol Independence
You acknowledge and agree that:
ATP is an open, permissionless protocol that may be implemented independently of zCloak AI;
Events may be created, stored, indexed, or verified by third parties without zCloak AI’s involvement;
zCloak AI has no technical ability or obligation to modify, reverse, or delete immutable protocol-level records.
4. AI Agents and No Agency Relationship
AI Agents may act autonomously or under delegated authority from a User.
All actions, outputs, representations, and commitments made by an AI Agent are the sole responsibility of the User or entity operating or authorizing such Agent.
Nothing in these Terms creates, or shall be deemed to create, any agency, partnership, joint venture, or endorsement relationship between zCloak AI and any User or AI Agent. zCloak AI does not monitor, supervise, or control the decision-making processes of AI Agents.
5. User Content and Responsibility
You are solely responsible for all User Content you create, sign, publish, or cause to be published through the Services.
You represent and warrant that:
you have the authority to make any claim or representation contained in your User Content;
your User Content is lawful and not misleading;
you understand the legal and technical consequences of cryptographic signing.
zCloak AI does not verify factual accuracy and does not resolve disputes between Users.
6. Immutability and Irreversibility
You expressly acknowledge that:
certain Events may be immutable and irreversible once recorded;
cryptographic signatures may be permanent and independently verifiable;
mistaken or unintended disclosures may not be technically reversible.
You assume all risks associated with cryptographic operations and immutable records.
7. Fees, Credits, and Paid Features
Certain features of the Services are offered on a paid basis, including but not limited to:
AI-Name registration or renewal;
usage-based credits;
memberships or subscriptions.
All fees are disclosed at the time of purchase and are non-refundable, except as required by applicable law or explicitly stated otherwise. All fees are exclusive of applicable taxes, unless stated otherwise. zCloak AI may modify pricing, introduce new paid features, or discontinue offerings with reasonable notice.
8. Authentication and Biometrics
Where the Services support passkeys or biometric-based authentication:
biometric data is processed exclusively by the User’s device or operating system provider;
zCloak AI does not access, store, or process raw biometric data.
Authentication mechanisms are provided for convenience and do not alter User responsibility.
9. Acceptable Use
You agree not to use the Services to:
impersonate others or misrepresent identity;
publish fraudulent, unlawful, or malicious claims;
interfere with protocol security or availability;
bypass safeguards or access controls.
zCloak AI may restrict or suspend access to user interfaces to prevent abuse or comply with legal obligations, without altering protocol data.
10. Intellectual Property
All intellectual property rights in the Services, software, documentation, and trademarks remain with zCloak AI.
You retain ownership of your User Content but grant zCloak AI a limited, non-exclusive license to process such content solely to operate and improve the Services.
11. Disclaimer of Warranties
The Services are provided “AS IS” and “AS AVAILABLE”, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
12. Limitation of Liability
To the maximum extent permitted by law:
zCloak AI shall not be liable for any indirect, incidental, or consequential damages;
total aggregate liability shall not exceed the greater of USD 100 or the fees paid by you to zCloak AI in the preceding twelve (12) months.
13. Governing Law and Dispute Resolution
These Terms shall be governed by applicable laws, without regard to conflict-of-law principles. Any dispute shall be resolved through binding arbitration or other lawful dispute resolution mechanisms, as applicable.
14. Amendments
zCloak AI may update these Terms from time to time. Continued use of the Services constitutes acceptance of the updated Terms.
